Fursa Marketplace Terms of Service
Last updated: 07 July 2026
1. Parties and platform
These Terms of Service govern access to and use of Fursa, including the Fursa mobile application, website, marketplace, payment flow, messaging tools, seller tools, buyer-protection process, and related services.
Erudite- EDU registered at 40 Willow Crescent, Gauteng, Gauteng, South Africa acts as a co-marketplace operator and South African partner for selected verification, support, training, and NGO-linked seller approval functions.
By creating an account, browsing, listing, buying, selling, messaging, receiving payment, or using any Fursa service, you agree to these Terms, the Seller Terms, the Buyer Protection and Dispute Policy, the Fees Policy, the Prohibited Items Policy, the Privacy Policy, and any other policy incorporated by reference.
2. Marketplace role
Fursa is a marketplace platform. Unless Fursa expressly states otherwise in writing, Fursa is not the seller, buyer, manufacturer, owner, carrier, importer, exporter, employer, agent, broker, charity, fundraiser, professional adviser, or insurer for any transaction between users.
Sellers are responsible for their listings, prices, descriptions, delivery, performance, legal compliance, tax obligations, product safety, service quality, customer communication, returns, refunds, disputes, and chargebacks.
Buyers are responsible for reviewing listings, checking seller information, using Fursa’s messaging and payment tools, inspecting goods or services when delivered, and raising disputes within the required timelines.
3. Eligible users
You must be at least 18 years old to use Fursa. By using Fursa, you confirm that you are 18 or older and have legal capacity to enter into binding agreements.
Fursa may refuse, suspend, or terminate access where a user provides false information, fails verification, breaches these Terms, engages in fraud, attempts to avoid platform fees, or creates legal, financial, operational, or reputational risk for Fursa, CGO, Erudite, Flutterwave, buyers, sellers, NGOs, or other users.
4. Account registration and verification
You must provide accurate, current, and complete account information. Fursa may request identity documents, business registration documents, bank information, address information, tax information, NGO affiliation evidence, proof of authority, or any other information reasonably required for onboarding, payment, risk management, legal compliance, or dispute handling.
Fursa may verify information directly, through Erudite, through Flutterwave, through third-party verification providers, or through documents supplied by the user.
Fursa may suspend buying, selling, payout, messaging, withdrawal, or listing activity until verification is complete.
5. Sellers
A seller may be an individual, business, NGO, or NGO-linked seller. Sellers must ensure that every listing is lawful, accurate, complete, and not misleading.
Each seller must state:
a. the price;
b. the product, service, digital item, donation-related offer, or other item being offered;
c. key conditions, limitations, exclusions, and delivery timelines;
d. whether the item is new, used, refurbished, digital, custom-made, perishable, service-based, or time-sensitive;
e. any material defect, risk, expiry date, limitation, or compatibility issue;
f. shipping, collection, service-performance, or delivery arrangements;
g. any return or refund position, subject to Fursa’s minimum buyer-protection rules and applicable law.
Sellers must not list prohibited, unlawful, unsafe, counterfeit, misleading, stolen, infringing, or restricted goods or services.
6. Buyers
Buyers must complete payment through Fursa using the approved Fursa payment process. Buyer protection does not apply to off-platform transactions, direct bank transfers, cash payments, WhatsApp arrangements, private payment links, or side deals.
Buyers must communicate with sellers through Fursa’s messaging system for any matter that may later become a dispute. Fursa may decline buyer protection where material communication occurred outside Fursa and Fursa cannot verify the transaction history.
7. Payments
Fursa uses Flutterwave and/or other approved payment service providers to process payments, split payments, manage payment holds, and support delayed seller payout.
Fursa does not operate as a bank. Fursa does not provide banking, credit, deposit-taking, insurance, escrow, legal, tax, or financial-advisory services.
Payment collection, payment processing, payment holds, settlement timing, refunds, reversals, and chargebacks may be subject to Flutterwave’s rules, banking rules, card-network rules, anti-fraud controls, anti-money-laundering controls, sanctions controls, and applicable law.
8. Marketplace fees
Unless otherwise agreed in writing, Fursa charges sellers a marketplace fee of 5% of the item or service price.
Approved NGO-linked sellers pay a reduced marketplace fee of 2% of the item or service price while their NGO-linked status remains approved.
The marketplace fee is calculated on the listed transaction price only, excluding shipping, tax, payment-processing charges, optional tips, and other excluded charges unless Fursa publishes a different rule.
The seller is responsible for Flutterwave fees, payment-processing fees, refund costs, chargeback costs, reversal costs, return-shipping costs, and any other seller-side costs unless Fursa states otherwise in writing.
9. NGO-linked seller status
NGO-linked seller status is not automatic. It requires partner approval and Erudite approval.
Fursa may require documents, declarations, references, project information, registration evidence, proof of affiliation, proof of authority, or updated verification information.
Fursa may approve, reject, suspend, revoke, or reclassify NGO-linked status at any time where:
a. the seller provides false, incomplete, expired, or misleading information;
b. the NGO relationship cannot be verified;
c. the seller sells unrelated commercial goods or services under NGO-linked status;
d. the seller misrepresents charitable purpose or public benefit;
e. the seller breaches Fursa policy;
f. Fursa reasonably determines that continued NGO-linked status creates legal, reputational, operational, or consumer-protection risk.
If NGO-linked status is revoked, Fursa may apply the standard seller fee to future transactions and may review past transactions for abuse.
10. Delayed seller payout and release
Fursa applies delayed seller payout to support buyer protection, dispute handling, fraud prevention, and chargeback management.
Unless a dispute, hold, investigation, manual override, refund, reversal, or legal restriction applies, seller payout becomes eligible for release 7 days after the Transaction Completion Date.
For services, the Transaction Completion Date is the date on which the seller marks the service as complete, the buyer confirms completion, or Fursa reasonably determines that completion occurred.
For physical goods, the equivalent completion event is delivery confirmation, buyer collection, buyer confirmation, or another platform-recognised completion event.
For digital goods, the equivalent completion event is successful access, download, activation, delivery, or other platform-recognised delivery confirmation.
A buyer may pause auto-release by filing a dispute before the release occurs. Fursa may manually extend, shorten, pause, cancel, or override release where it reasonably considers this necessary for consumer protection, fraud control, legal compliance, chargeback risk, seller verification, unsafe goods, platform abuse, or unresolved transaction issues.
11. Seller reserves and payout holds
Fursa may apply reserves, rolling reserves, payout delays, payout caps, transaction holds, or enhanced review to sellers. Fursa may do this for new sellers, high-risk sellers, high-value transactions, dispute-prone sellers, unverified sellers, NGO-linked sellers under review, or any seller whose activity creates unusual risk.
Fursa may use held amounts to cover refunds, partial refunds, buyer-protection claims, chargebacks, payment reversals, return-shipping obligations, unpaid fees, or losses caused by seller breach.
12. Chargebacks and reversals
The seller carries chargeback and reversal risk for transactions involving that seller.
If a chargeback, bank dispute, card-network dispute, Flutterwave dispute, fraud claim, payment reversal, or payment failure occurs, Fursa may:
a. pause payout;
b. debit available seller balance;
c. recover the amount from future payouts;
d. require repayment from the seller;
e. place a reserve on the seller account;
f. suspend selling activity;
g. provide evidence to Flutterwave, payment partners, banks, or card networks;
h. refund the buyer;
i. close or restrict the seller account.
Sellers must promptly provide evidence requested by Fursa, including photos, chat records, service notes, delivery proof, receipts, tracking information, handover confirmation, completion records, and any other relevant material.
13. Fursa messaging and evidence
Fursa may review transaction messages, listing content, uploaded files, photos, service notes, dispute submissions, seller responses, buyer responses, payment records, transaction events, and platform activity where necessary to operate the marketplace, enforce these Terms, investigate disputes, prevent fraud, respond to chargebacks, comply with law, or protect users.
Communication relevant to a transaction must remain inside Fursa. Fursa may refuse or limit buyer protection where the relevant agreement, delivery instruction, payment, or dispute communication happened outside Fursa.
14. Shipping and delivery
Sellers are solely responsible for shipping, delivery, collection, fulfilment, service performance, and any courier or third-party provider they choose.
Fursa does not ship goods, inspect goods before dispatch, guarantee delivery, or assume carrier liability.
Sellers must state realistic shipping or service-performance timelines and must update buyers promptly if a delay occurs. Sellers must comply with applicable consumer, delivery, e-commerce, and distance-selling laws in the countries where they sell.
15. Buyer protection
Fursa provides limited buyer protection under the Buyer Protection and Dispute Policy. Buyer protection is not insurance, a warranty, a chargeback waiver, or an unconditional refund guarantee.
Buyer protection may apply where:
a. the buyer paid through Fursa;
b. the transaction was completed on-platform;
c. the buyer communicated through Fursa;
d. the item, service, or delivery issue falls within a covered claim type;
e. the buyer filed the claim within the required time;
f. the buyer provides requested evidence;
g. no exclusion applies.
16. Covered buyer-protection claims
Subject to the Buyer Protection and Dispute Policy, covered claims may include:
a. item not received;
b. item materially not as described;
c. item damaged on arrival;
d. counterfeit item;
e. unsafe item;
f. seller cancellation after payment;
g. paid service not delivered.
17. Excluded buyer-protection claims
Buyer protection does not apply to:
a. buyer remorse;
b. wrong size, fit, colour preference, style preference, or subjective dissatisfaction unless the listing was materially misleading;
c. off-platform payments or side deals;
d. prohibited items;
e. custom-made items, unless defective, not delivered, or materially misdescribed;
f. perishable goods, unless non-delivered, unsafe, or materially misdescribed;
g. digital downloads, digital access, or digital content after access has been provided, unless the content was not delivered or was materially misdescribed;
h. services already performed, unless the service was materially different from the listing or agreed scope;
i. buyer failure to collect;
j. disputes filed outside the required time;
k. claims where the buyer altered, damaged, consumed, resold, transferred, or failed to preserve the item;
l. claims unsupported by evidence;
m. matters caused by buyer-provided wrong delivery details, wrong specifications, or non-cooperation.
18. Refunds and returns
Refunds apply only to non-delivery, material misdescription, defect, unsafe item, counterfeit item, seller cancellation, or service non-performance, subject to the Buyer Protection and Dispute Policy and applicable law.
Fursa may approve full refunds, partial refunds, replacement, return-and-refund, seller payout release, partial payout release, or another reasonable outcome.
Where Fursa requires a return, the seller pays return shipping unless Fursa determines otherwise or applicable law requires another outcome.
19. Prohibited conduct
Users must not:
a. avoid Fursa fees;
b. move transactions off-platform;
c. provide false information;
d. misrepresent identity, NGO status, product origin, product safety, or delivery status;
e. sell counterfeit, stolen, unsafe, unlawful, infringing, or prohibited items;
f. manipulate reviews, disputes, release timing, or payment records;
g. harass, threaten, discriminate against, or abuse other users;
h. interfere with Fursa systems;
i. use Fursa for fraud, money laundering, sanctions evasion, unlawful fundraising, or unlawful financial activity;
j. create duplicate accounts to avoid suspension, fees, verification, reserves, or dispute history.
20. Donations, fundraising, and NGO-related listings
Fursa may allow NGO-related listings, social-impact products, fundraising-linked products, or donation-related activity only where approved and lawful.
A seller must not represent that a purchase is tax-deductible, charitable, sponsored, donor-matched, or NGO-approved unless that representation is accurate, documented, and approved where required.
Fursa may require additional disclosures, documents, confirmations, or approvals for NGO-related listings.
21. Taxes
Sellers are responsible for determining, collecting, reporting, and paying any taxes, duties, levies, VAT, sales tax, income tax, customs duty, withholding tax, or similar charges arising from their sales.
Fursa may deduct, withhold, report, collect, or remit tax where required by law or payment-provider rules.
22. Reviews and content
Users may post listings, messages, photos, descriptions, notes, documents, reviews, and other content. Users are responsible for their content and must ensure that it is lawful, accurate, non-infringing, and not misleading.
Fursa may remove, edit, hide, restrict, or preserve content where necessary to operate the marketplace, enforce policy, prevent harm, comply with law, or manage disputes.
23. Privacy and data
Fursa processes personal information according to its Privacy Policy and applicable privacy laws, including POPIA where applicable.
Fursa may share relevant information with CGO, Erudite, Flutterwave, payment processors, verification providers, dispute-resolution providers, regulators, law-enforcement bodies, professional advisers, and service providers where necessary for marketplace operation, payment processing, verification, legal compliance, fraud prevention, dispute handling, or user protection.
24. Suspension and termination
Fursa may suspend, restrict, or terminate an account where the user breaches these Terms, creates risk, fails verification, fails to repay amounts owed, abuses buyer protection, misuses NGO-linked status, receives excessive complaints, or violates law.
Suspension may include withholding payouts, pausing listings, cancelling transactions, removing listings, freezing account functionality, restricting messaging, or requiring additional verification.
25. Limitation of liability
To the maximum extent permitted by law, Fursa is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, lost profits, lost revenue, lost data, loss of goodwill, loss of opportunity, or losses arising from seller conduct, buyer conduct, courier conduct, payment-provider actions, chargebacks, bank delays, platform downtime, or third-party services.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
26. Indemnity
You agree to indemnify and hold harmless Fursa, CGO, Erudite, their directors, officers, employees, contractors, partners, payment providers, and agents from claims, losses, liabilities, costs, fees, penalties, chargebacks, refunds, damages, and expenses arising from your listings, transactions, conduct, breach of these Terms, legal non-compliance, tax obligations, payment disputes, consumer claims, or misuse of the platform.
27. Governing law and dispute forum
These Terms are governed by the law stated in the final legal version approved by Fursa’s legal counsel.
Because Fursa operates through a Delaware-registered company and supports South African and African marketplace activity, the final governing-law, arbitration, consumer-forum, and jurisdiction clauses must be approved by legal counsel before publication.
28. Changes to these Terms
Fursa may update these Terms from time to time. The updated version applies from the date stated in the updated Terms, unless a longer notice period is required by law.
Continued use of Fursa after changes take effect means that you accept the updated Terms.
